SimplyGift Technologies Inc. (“SimplyGift”, “we”, “us” or “our”) provides an online gifting platform that allows Users to create personalized Events, share Event links with invited guests, and make, receive or benefit from Gifts through the platform, as applicable (the “Service”). This Privacy Policy explains how we collect, use, disclose, retain and protect information about an identifiable individual (“Personal Information”) when Hosts, Contributors, recipients, invitees, website visitors and other Users access or use the Service, our website, our iOS and Android mobile applications, and related services.

We encourage you to read and understand our terms of service (“Terms”), this privacy policy (“Privacy Policy”) and any other agreement you agree to or enter into with SimplyGift before using the Service. By accepting the Terms and/or Privacy Policy or by accessing the Service, you consent to our collection, use and disclosure of your Personal Information in accordance with this Privacy Policy. This Privacy Policy is incorporated into and subject to our Terms. All capitalized terms that are not otherwise defined herein have the meaning given to them in the Terms.

What Information Do We Collect?

General. We collect Personal Information only for purposes that a reasonable person would consider appropriate in the circumstances, including to provide, operate, secure and improve the Service. The Personal Information we collect depends on how you interact with the Service, including whether you are creating, publishing, administering or managing an Event as a Host, receiving or benefiting from a Gift, making or attempting to make a Gift as a Contributor, being invited to or interacting with an Event, communicating with us, creating or using an account, or browsing our website.

Information You Provide to Us.

When you create a User Account, create, manage or interact with an Event, make or attempt to make a Gift, send a message, select or sign a digital card, communicate with us, or otherwise use the Service, we may collect Personal Information such as your name, email address, phone number, login credentials, billing information, Gift amounts, payment status, transaction identifiers, event or occasion details, recipient information, Event preferences, photos, videos, messages, descriptions, links, gift preferences, personal stories, card selections, and other content or information that you choose to provide. The Service may also allow you to provide Personal Information about other individuals, including recipients, co-hosts, family members, event participants, guests, Contributors, invitees, or other persons shown or named on an Event.

Communication With Us. If you contact us for customer support, make an inquiry, participate in a survey or promotion, respond to our communications, or otherwise communicate with us, we may collect your name, contact information, the contents of your communication, and any other information you choose to provide.

Information that you or other users choose to include on an Event, including names, photos, event details, stories, gift descriptions, messages and other content, may be visible to the Host, Contributors, invitees, recipients, guests or other persons who are invited to, authorized to access, or otherwise provided access to that Event, depending on the settings and features available for the Event. You should not include Personal Information on an Event unless you are comfortable with that information being viewed by the intended audience for that Event.

Payment and Banking Information. If you make or attempt to make a Gift, receive or benefit from a Gift, request a refund or payout, or otherwise participate in a payment-related transaction through the Service, we and our third-party payment processors may collect information needed to process the transaction, including payment card information, billing information, banking or payout information, transaction history, fraud-prevention information, and related payment details. We do not store full payment card numbers on our own servers unless we expressly state otherwise. Payment information is processed by our third-party payment processors in accordance with their own terms and privacy policies.

Personal Information Collected Automatically.

When you access or use the website or Service, we may automatically collect certain information from your browser, device or interactions with the Services, including your IP address, device type, browser type, operating system, referring URLs, Events viewed, Events accessed, dates and times of access, interactions with emails or links, approximate location inferred from your IP address, cookie identifiers, and other usage, diagnostic, security and analytics information..

“Cookies” and similar technologies are small files placed on your computer and devices that assist us in providing our Services. We and our service providers may use cookies, pixels, local storage and similar technologies to operate the Services, remember your preferences, understand how users interact with the Services, improve performance, support security and fraud prevention, and, where applicable, measure or improve our marketing. You can adjust your browser settings to refuse or disable cookies; however, some parts of the Services may not function properly if cookies are disabled.

Information from Third Parties. We may receive Personal Information from third parties where necessary to provide the Services, process transactions, prevent fraud, communicate with users, or improve and secure the Services. These third parties may include payment processors, payout providers, fraud-prevention providers, hosting providers, analytics providers, email or SMS providers, customer support providers, marketing providers, and other service providers or integration partners.

How Do We Use Your Personal Information?

We may use Personal Information to provide, operate, maintain, secure and improve the Services, including to create, host and manage Events; allow users to share Events, contribute Gifts, send messages, select or sign digital cards, and use other Service features.

We may also use Personal Information to communicate with you about the Services, including to send confirmations, receipts, Event updates, contribution notifications, administrative messages, security notices, support responses and service updates; respond to inquiries, complaints and support requests; personalize your experience; analyze use of the Services; troubleshoot issues; fix bugs; improve our content, products and features; and maintain the security and integrity of the Services. Where permitted by law, we may use Personal Information to send marketing or promotional communications, conduct surveys, request feedback, and administer promotions, subject to applicable consent and unsubscribe requirements.

We may use Personal Information to maintain business, transaction, accounting, tax, security and compliance records; detect and prevent fraud, abuse, unauthorized access and other unlawful or harmful activity; enforce our Terms and other agreements; comply with applicable legal, regulatory, payment network, and reporting obligations; respond to lawful requests and legal processes; and fulfill any other purpose identified to you at or before the time of collection or for which we otherwise obtain your consent.

Our Disclosure of Your Personal Information

General Disclosure. We may disclose Personal Information only as described in this Privacy Policy, with your consent, or as otherwise permitted or required by law. We do not sell or rent your Personal Information.

Events and Other Users. Personal Information that you or other users choose to include on an Event, including names, photos, event details, gift preferences, messages, Gift-related information and other content, may be visible to other people who access the Event, depending on the settings and features available for the Event. We may also disclose Personal Information between Hosts, Contributors, or other Users, including recipients and guests as needed to provide the Services, including to display contributions, messages, digital cards, payment status, Event activity and related transaction information.

Service Providers. We may disclose Personal Information to third-party service providers that help us provide, operate, secure and improve the Services, including payment processors, payout providers, hosting providers, fraud-prevention providers, analytics providers, email or SMS providers, customer support providers, marketing providers, professional advisors and other service providers. We use service providers that we believe are capable of protecting Personal Information and we require them to use Personal Information only for the purposes for which it was provided to them, subject to their applicable legal obligations.

Payments and Payouts. If you make or receive a payment related to a Gift, Personal Information may be disclosed to our payment processors, payout providers, financial institutions, payment networks and fraud-prevention providers as needed to process, verify, settle, refund or dispute the transaction, prevent fraud, comply with payment network rules, and meet legal, accounting, tax and reporting obligations.

Legal, Safety and Compliance. We may preserve or disclose Personal Information where we believe it is reasonably necessary to comply with applicable law, regulation, legal process, payment network rules or a lawful request; to protect the safety, rights, property or security of SimplyGift, our users or others; to detect, prevent or address fraud, abuse, security incidents or technical issues; or to enforce our Terms and other agreements.

Business Transaction. We may disclose Personal Information in connection with a proposed or completed business transaction, including a merger, acquisition, financing, reorganization, sale of assets, bankruptcy or similar transaction. In such cases, we will use reasonable efforts to ensure the information is protected by appropriate confidentiality arrangements and handled in accordance with applicable law.

Storing and Processing Outside Your Jurisdiction. Personal Information may be stored or processed in Canada, the United States or other jurisdictions where we or our service providers operate. As a result, Personal Information may be accessible to courts, law enforcement, regulators or governmental authorities in those jurisdictions in accordance with applicable laws. When we transfer Personal Information to service providers outside your jurisdiction, we use contractual and other safeguards designed to protect the information.

Communication Preferences

You may unsubscribe from commercial or promotional electronic messages by using the unsubscribe mechanism included in those messages or by contacting us at the contact information below. Even if you unsubscribe, we may still send you transactional, administrative or service-related communications, including messages about your account, Event, contributions, payments, receipts, security notices, support requests, changes to the Service, or updates to this Privacy Policy, to the extent permitted by applicable law.

Data Retention and Other Information

Retention. We retain Personal Information only for as long as reasonably necessary to fulfill the purposes described in this Privacy Policy, or as otherwise permitted or required by law. This may include retaining Personal Information to provide the Service, maintain Event, Gift, and transaction records, process payments, refunds, payouts, resolve disputes, prevent fraud, comply with legal, accounting and tax obligations, and enforce our Terms. When Personal Information is no longer required, we will delete, de-identify or securely dispose of it, subject to legal, technical and backup requirements.

Account Closure and Event Deactivation. If your account is closed or an Event is deactivated, we may retain certain Personal Information for a reasonable period where necessary for legitimate business or legal purposes, including transaction records, payment history, fraud-prevention records, support communications, and records required for accounting, tax, legal or compliance purposes.

Children and Minors. The Service are intended for individuals who are at least 18 years old. We do not knowingly collect Personal Information from individuals under 18. If we learn that we have collected Personal Information from an individual under 18, we will take reasonable steps to delete it, unless we are legally permitted or required to retain it.

Your Privacy Rights

Subject to applicable law, you may request access to the Personal Information we hold about you and request that we correct inaccurate or incomplete Personal Information. You may also withdraw your consent to our collection, use or disclosure of your Personal Information, subject to legal, contractual and practical limitations and reasonable notice. If you withdraw consent, we may not be able to provide certain Services to you.

You may also request that we delete Personal Information we hold about you. We will consider and respond to deletion requests in accordance with applicable law. We may retain certain Personal Information where permitted or required by law, including to complete transactions, maintain business, tax, accounting, security or compliance records, resolve disputes, prevent fraud, enforce our Terms, or comply with legal obligations.

To exercise your privacy rights, or to ask a question or make a complaint about our privacy practices, please contact us using the contact information set out below. We may need to verify your identity before responding to your request. If your request relates to an Event or information submitted by another user, we may also need to take reasonable steps to verify your authority to make the request.

We will respond to requests within the time required by applicable law.

Security

We use reasonable administrative, technical and physical safeguards designed to protect Personal Information against unauthorized access, collection, use, disclosure, copying, modification, disposal, loss or theft. These safeguards may include access controls, security technologies, internal policies and procedures, and measures used by our service providers. Despite our efforts, we cannot guarantee the security of your Personal Information. Unauthorized entry or use, hardware or application failure and other factors, may compromise the security of your Personal Information at any time. We may investigate any actual or suspected breach of security safeguards or unauthorized access to or use of the Services, our systems or networks. If we become aware of a breach involving Personal Information under our control, we will assess the incident and provide notifications where required by applicable law.

Changes to This Privacy Policy

SimplyGift may update this Privacy Policy from time to time. The “Last Updated” date at the top of this Privacy Policy indicates when it was last revised. If we make material changes, we may notify you by posting a notice on the Services, sending an email to the address associated with your account or Event, or by other means required or permitted by law.

Your continued use of the Services after an updated Privacy Policy is posted or otherwise made available means that you acknowledge the updated Privacy Policy, subject to any additional consent that may be required by applicable law.
